1.1 The Asset Standard is a trading name of Gravitonic Ltd, a company registered in England and Wales.

1.3 We provide property audit and due diligence services in the United Arab Emirates (UAE), specifically in Dubai, Ras Al Khaimah, and Abu Dhabi.

1.4 These Terms are governed by the laws of England and Wales, while our services are provided in accordance with applicable UAE laws and regulations, including but not limited to Dubai Land Department (DLD) and RERA regulations.

2.1 In these Terms, unless the context otherwise requires:

• "Services" means property audit, due diligence, risk assessment, transaction history analysis, service charge audits, developer checks, and related services provided by us.
• "Report" means any audit report, due diligence report, risk assessment, or other document provided to you as part of our Services.
• "Client" or "You" means the person or entity purchasing or using our Services.
• "DLD" means Dubai Land Department.
• "RERA" means Real Estate Regulatory Agency.
• "UAE" means the United Arab Emirates.
• "UK" means the United Kingdom.

3.1 We provide independent property audit and due diligence services, including:

• DLD transaction history analysis
• Service charge audits and cost breakdowns
• Property risk assessments (A-F rating system)
• Developer track record and completion rate analysis
• Comprehensive property audits
• Other related due diligence services

3.2 Our Services are based on data obtained directly from DLD and RERA APIs and government databases. We do not provide financial, legal, or investment advice.

3.3 We are an independent audit firm. We earn zero commission from developers, real estate agents, or property sellers. Our loyalty is to the data only.

3.4 Reports are typically delivered within 48 hours of request, subject to data availability and service complexity.

4.1 By placing an order for our Services, you agree to pay the fees specified at the time of order. All prices are quoted in UAE Dirhams (AED) unless otherwise stated.

4.2 Payment must be made in full before we commence work on your Report, unless otherwise agreed in writing.

4.3 All fees are non-refundable except as expressly stated in these Terms or as required by applicable law (including UK Consumer Rights Act 2015 and UAE Consumer Protection Law).

4.4 We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases where:

• The property information provided is incomplete or inaccurate
• We are unable to access required data from DLD or RERA
• Payment is not received or is disputed
• We suspect fraudulent activity

4.5 If we cancel your order after payment has been received, we will refund the payment in full within 14 business days.

5.1 We offer a 100% accuracy guarantee: If we miss a critical risk factor we will refund 100% of your audit fee.

5.2 This guarantee applies only to:

• Data that was available in DLD and RERA databases at the time of the audit
• Critical risk factors that we should have identified using our standard audit procedures
• Financial loss directly attributable to the missed risk factor

5.3 Our Reports are based on data available at the time of the audit. We cannot guarantee:

• Future changes in property values, service charges, or market conditions
• Data that was not available in government databases at the time of the audit
• Information that was intentionally concealed or falsified in government records
• Changes in developer status, project completion, or regulatory environment after the audit date

5.4 To claim under the accuracy guarantee, you must:

• Notify us in writing within 30 days of discovering the missed risk factor
• Provide evidence of the financial loss and its direct connection to the missed risk factor
• Demonstrate that the risk factor was available in DLD or RERA databases at the time of the audit

6.1 All Reports, data analysis, methodologies, and content provided as part of our Services are protected by copyright and other intellectual property laws (UK Copyright, Designs and Patents Act 1988 and UAE Federal Law No. 7 of 2002).

6.2 Upon full payment, you are granted a non-exclusive, non-transferable license to use the Report for your personal or business purposes related to the property in question.

6.3 You may not:

• Reproduce, distribute, or publish the Report without our prior written consent
• Use the Report for commercial purposes beyond the specific property transaction
• Modify, adapt, or create derivative works from the Report
• Remove copyright notices or proprietary markings from the Report

6.4 All trademarks, service marks, and logos are the property of Gravitonic Ltd or its licensors.

7.1 We process personal data in accordance with:

• UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018
• UAE Federal Law No. 45 of 2021 on the Protection of Personal Data
• Dubai International Financial Centre (DIFC) Data Protection Law No. 5 of 2020 (where applicable)

7.3 By using our Services, you consent to:

• The collection and processing of personal data necessary to provide our Services
• The sharing of property information with DLD and RERA for data verification purposes
• The storage of your data in accordance with our data retention policies

7.4 You have the right to:

• Access your personal data
• Request correction of inaccurate data
• Request deletion of your data (subject to legal obligations)
• Object to processing of your data
• Data portability

8.1 Our liability is limited in accordance with applicable UK and UAE law:

• Under UK law (Consumer Rights Act 2015), we cannot exclude liability for death or personal injury caused by negligence, fraud, or breach of statutory duty.
• Under UAE law (UAE Civil Code), we cannot exclude liability for gross negligence or willful misconduct.

8.2 Subject to clause 8.1, our total liability to you for any claim arising from or in connection with our Services shall not exceed the amount you paid for the specific Service giving rise to the claim.

8.3 We shall not be liable for:

• Indirect, consequential, or special damages, including but not limited to loss of profits, loss of business, or loss of opportunity
• Decisions made based on our Reports
• Changes in property values, market conditions, or regulatory environment after the audit date
• Data that was not available in government databases at the time of the audit
• Third-party actions or omissions

8.4 We do not provide financial, legal, or investment advice. Our Reports are for informational purposes only and should not be the sole basis for investment or purchase decisions.

9.1 Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, except as required by applicable law.

9.2 We do not warrant that:

• Our Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our Services will be accurate or reliable
• Any errors in our Services will be corrected

9.3 We are not responsible for:

• The accuracy, completeness, or availability of data in DLD or RERA databases
• Delays in data availability from government sources
• Technical issues affecting government API access
• Changes in government regulations or data access policies

10.1 You agree to:

• Provide accurate and complete information about the property to be audited
• Pay all fees in accordance with these Terms
• Use the Report only for the purposes for which it was provided
• Not use our Services for any illegal or unauthorized purpose
• Comply with all applicable laws and regulations in your use of our Services

10.2 You are responsible for:

• Ensuring you have the legal right to request an audit of the property in question
• Obtaining any necessary permissions or consents required for the audit
• Verifying that the property information you provide is accurate and complete

11.1 If you have a complaint about our Services, please contact us at hello@theassetstandard.ae. We will investigate and respond within 14 business days.

11.2 For UK consumers, you have the right to refer disputes to:

• Alternative Dispute Resolution (ADR) providers approved by the Chartered Trading Standards Institute
• The UK Financial Ombudsman Service (if applicable)

11.3 For UAE residents, disputes may be referred to:

• Dubai Consumer Rights Protection Department
• RERA Dispute Resolution Centre (for real estate-related disputes)
• Dubai Courts (for legal disputes)

11.4 These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory UAE law requires otherwise.

12.1 We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, acts of God, or extreme weather conditions
• War, terrorism, civil unrest, or government actions
• Failure of government systems, APIs, or databases (DLD, RERA)
• Internet or telecommunications failures
• Pandemics or public health emergencies
• Changes in government regulations or policies

12.2 In the event of force majeure, we will use reasonable efforts to notify you and resume performance as soon as practicable.

13.1 We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or through our website.

13.2 Continued use of our Services after changes to these Terms constitutes acceptance of the modified Terms.

13.3 If you do not agree to the modified Terms, you must stop using our Services and may request a refund for any Services not yet delivered, subject to our refund policy.

14.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14.2 The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

15.1 These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and us regarding the use of our Services.

15.2 These Terms supersede all prior agreements, understandings, or communications, whether written or oral, relating to the subject matter of these Terms.
